Course Objectives The objective of this course is to review the provisions on BoD Members in Joint Stock\nCorporations, which have been renewed considerably through Turkish Commercial Code No. 6102.
Learning Outcomes The students who succeeded in this course;
  • Explain the formation of board of directors, the legal relation between the members of the board of directors and joint stock corporation.
  • Discuss actions to be taken in the event where a membership in the board of directors becomes vacant.
  • Solve possible problems that may occur between the board of directors and the joint stock corporation or other beneficiaries.
  • Explain the function and operation of the board of directors.
  • Evaluate the board of directors in one-man corporations.
  • Explain the benefits of holding meetings of the board of directors via electronic means.
Course Description Formation of executive boards in incorporations, requirements of becoming a member of executive board, functions and operation of the executive board, executive board in single incorporations, principles of legal responsibility of members of executive boards, duties of members of executive boards, termination of membership in executive boards, corporate management and executive boards meeting through electronic media constitute the contents of this course.
