Course Objectives The aim of the course is to examine the theoretical knowledge, doctrine and judicial decisions on capital increase through capital subscription in joint stock companies according to the provisions of the TCC at the doctoral level.
Learning Outcomes The students who succeeded in this course;
  • Explain the concept and necessary prerequisites of capital increase in various types of joint-stock companies in Turkish Law.
  • Identify the types of capital increase according to various capital systems.
  • Compare the methods of share capital payments in capital increase of joint stock companies.
  • Evaluate the consequences of capital increase procedure.
  • Debate the certain legal problems arising from the invalidity of capital increase.
Course Description The system of TCC on the capital formation of joint-stock companies is based on the principle of capital protection. This principle means that the committed capital is to be brought in a fully and complete manner during the establishment and the capital increase of the company and is to be preserved throughout the continuance of the company. Capital increase within this context is one of the most important way to meet the financial resource requirement. However this procedure can be abused in practice, since capital increase through capital subscription is a special type of amendment of articles of association that can have impacts on balance of interests within the company. In this regard, there are many judicial decisions and will be examined in detail during the course.
